  • Chief Financial Officer and/or Tax Director of five clients corporate groups, focusing primarily on merger and acquisition analyses in addition to preparation of all federal and state tax returns and monthly financial statements

  • Responsible for financial statement reporting of income tax provision and income tax risk assessment

  • Performed review of said target company’s US tax filings, generating $4M of additional federal tax credits

  • Reviewed prior year tax filings of publicly-traded firm, changing the approach to reporting cross border inter-company transactions, thereby saving over $7M of federal taxes.

  • Structured inbound acquisition using a preferred stock repurchase structure to generate a 35% tax rate arbitrage on remitted earnings

  • Restructured Australian acquisition by changing the Letter of Intent, saving over $1.4M of federal and state taxes

  • Identified economic benefits for a client using insurance products in compensatory arrangements, saving the client $800k

  • Extensive tax provision experience


Pharmaceutical

 
  • Preparation of integrated orphan drug and R&D tax credit studies, including review of existing tax credits claimed, resulting in substantial tax credit increases for clients, varying from 5 to 7 digits in magnitude

  • Focus on international transfer pricing and merger and acquisition analyses, including preparation of IRC Section 382 studies for venture capital funded pharmaceutical targets

  • Performed economic functional analysis for an international pharmaceuticals company, implemented transfer pricing recommendations to reduce domestic operating margin from 29% to 8%, thereby generating initial worldwide tax savings of $27M while reducing audit exposure.

  • Structured cross border acquisition of pharmaceuticals company, minimizing the post-acquisition federal and state tax burden through a leveraged acquisition structure, achieving a 25% tax rate arbitrage

  • Analyzed multinational pharmaceutical company’s US distribution subsidiary’s federal and state tax returns, amending same achieving over $1.5M of tax savings and eliminating state tax nexus exposure
